Breakfast Briefing to be held in our Portland office on February 26, 2004
Many of us volunteer our time and talent to serve on charitable boards
without an appreciation of our legal responsibilities as directors &
officers of nonprofit corporations. Your role as director or officer of a
nonprofit corporation carries with it responsibilities, which if not fulfilled,
may result in personal liability. Topics to be covered include:
- Duty of Care: What are your responsibilities as a director to make
good decisions?
- Duty of Loyalty: When and how can you do business with the
organization you serve without fear of liability?
- Conflicts of Interest: How must the board manage its procedures to
make appropriate decisions?
- Charitable Immunity: Does this legal doctrine provide any meaningful
protection?
- Statutory Liabilities: When is there personal responsibility for unpaid
payroll or excise taxes?
- D&O Liability Insurance: Is the cost justified and what protection
is available?
