stockholder/President of a corner grocery store, your role as officer or
director of a corporation carries with it responsibilities, which if not
fulfilled, could result in personal liability. Topics to be covered

- Duty of Care: What are your responsibilities as a director to make
good business decisions?
- Duty of Loyalty: when and how can you do business with the company you
represent without fear of liability?
- Shifting Sands: How your responsibilities change “in the zone of
insolvency” – the Duty of Creditors.
- Statutory Liabilities, including liability for unpaid payroll
taxes
