BIOGRAPHY
Susan E. LoGiudice has practiced with Preti Flaherty since 1985 and has
successfully orchestrated complex commercial transactions for some of northern
New England’s largest businesses. As former Chair of the firm’s Business Law
Practice Group, her practice includes business organizations and financings,
mergers and acquisitions, and real estate law.
Susan is proud to serve a solid base of business clients as general counsel,
and in several cases has served as such for nearly twenty years. She has
counseled clients in most stages of the business "life cycle," from inception
through dissolution. Whether assisting a healthy, growing company or a
bankruptcy survivor, she strives to give the level of service requested, from
regular attendance at board meetings to occasional telephone consultations with
management.
Susan lives in Cape Elizabeth, Maine with her teenage sons.
REPRESENTATIVE MATTERS
- Extensive experience in mergers and acquisitions across a wide range of
industries. Transaction size ranges from purchases and sales of small businesses
to multi-state transactions involving sales prices in the hundreds of millions
of dollars. Her most recent acquisitions include the purchase of a mental health
counseling business and a mail-order pharmacy.
- Served as business law lead on a multi-disciplinary transaction for Red
Shield Environmental’s 2006 acquisition of Georgia-Pacific’s paper and wood chip
mills. Preti Flaherty successfully led this highly-complex transaction to
closing within four weeks – an extraordinarily quick turnaround that will allow
Red Shield to revitalize the mill into a self-contained energy business
park.
- Currently representing SI Development, LLC, an affiliate of Harper’s
Development LLC, in the acquisition and development of Saco Island, with
anticipated costs exceeding $80 million, to redevelop the island’s old mill and
adjacent land into waterfront townhouses, residential condominiums and a
marina.
- Assists Irish-based worldwide construction products company in its U.S.
acquisitions, the most recent of which was a family-owned raised-access flooring
company with headquarters in the Southeastern U.S.
- Extensive experience in counseling and handling complex exit planning and
succession planning strategies.
- Extensive experience in contract documentation and negotiation. Susan’s work
in this area ranges from developing form contracts that clients can use with
little to no help, to developing complex contracts for unusual business
deals.
